These Terms of Service ("Terms") govern your access to and use of the website nazcolabs.com and the services provided by NAZCO ("NAZCO", "we", "us", or "our"), an AI-automation agency based in Houston, Texas. By using our website or engaging us for services, you agree to these Terms. If you do not agree, please do not use the site or our services.
1. Our services
NAZCO designs, builds, and operates custom AI-automation systems, lead engines, and related software and consulting services. The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate proposal, statement of work, or order that we agree with you ("Agreement"). If anything in these Terms conflicts with a signed Agreement, the signed Agreement controls for that engagement.
2. Quotes and estimates
Any quotes, estimates, pricing, or timelines shared through the website, a call, or correspondence are for planning purposes and are not binding until they are confirmed in a written Agreement signed or accepted by both parties. Scope, effort, and pricing may change as requirements become clearer, and we'll communicate any changes before proceeding.
3. Payment terms
- Fees, billing schedule, and any milestones are defined in your Agreement. Engagements are commonly milestone-billed against shipped value.
- Payments are processed through our payment provider, Whop, and are subject to its terms.
- Unless stated otherwise, invoices are due on receipt. Late or non-payment may result in paused work or suspended access to delivered systems.
- Fees are exclusive of any applicable taxes, which are your responsibility unless stated otherwise.
- Except where required by law or expressly stated in your Agreement (see Guarantees below), fees are non-refundable.
4. Intellectual property and ownership
Upon full payment, you own the system we deliver to you — the configurations, workflows, and custom work product built specifically for your engagement. You are responsible for any third-party tools, licenses, models, and subscriptions the system relies on, and for keeping those accounts in good standing.
NAZCO retains all rights to its reusable frameworks, methods, tooling, libraries, and know-how used to build your system, including anything we developed before or independently of your engagement. We grant you the license needed to use these as part of your delivered system, but you do not acquire ownership of our underlying frameworks. We may reuse this general knowledge and tooling for other clients.
5. Your responsibilities
To deliver our services, we may need access to your tools, accounts, data, and stakeholders. You agree to provide accurate information and timely access and approvals, to hold any necessary rights to the data and materials you give us, and to use the systems we build lawfully and in line with the terms of any third-party tools involved.
6. Guarantees
Where your Agreement includes our Build-Until-It-Works guarantee, we agree on a clear, measurable target up front and keep building toward that target as described in your Agreement. This guarantee applies to the specific outcome and conditions defined in writing and depends on your timely cooperation, access, and the continued availability of the third-party tools the system relies on. Except as expressly stated in your Agreement, our services are provided "as is" without other warranties of any kind, whether express or implied.
7. Third-party tools and services
The systems we build often integrate third-party platforms and AI models. We are not responsible for the availability, performance, pricing changes, or actions of those third parties, and your use of them is subject to their own terms. AI-generated outputs can contain errors; you are responsible for human review of consequential actions.
8. Limitation of liability
To the maximum extent permitted by law, NAZCO will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to the website, our services, or these Terms. Our total aggregate liability for any claim will not exceed the amount you paid to NAZCO for the services giving rise to the claim in the three (3) months before the event that caused it.
9. Confidentiality
Each party agrees to protect the other's non-public business and technical information shared during an engagement and to use it only as needed to perform under the Agreement, except where disclosure is required by law.
10. Termination
Either party may terminate an engagement as set out in the relevant Agreement. On termination, you remain responsible for fees for work performed up to the termination date, and the sections of these Terms that by their nature should survive — including ownership, confidentiality, and limitation of liability — will continue to apply.
11. Governing law
These Terms and any dispute arising out of them or our services are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Harris County, Texas, and you consent to their jurisdiction.
12. Changes to these Terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above. Your continued use of the website after changes take effect constitutes acceptance of the updated Terms.
